1. Acceptance of Terms
These Terms & Conditions ("Terms") govern your access to and use of the OMai platform ("Platform"), an AI-powered operations monitoring service for Renewable Natural Gas (RNG) facilities, developed and operated by Biogas Engineering ("OMai," "we," "us," or "our") and available at onm.ai.
By accessing or using the Platform, you ("User," "Customer," or "you") agree to be bound by these Terms and our Privacy Policy. If you do not agree, do not access or use the Platform.
2. Platform Description
OMai provides B2B software-as-a-service (SaaS) for operators and managers of RNG facilities, including dairies, landfills, and wastewater facilities. The Platform includes real-time operational monitoring, AI-driven predictive analytics, compliance reporting, and SMS-based alert notifications for facility operations.
Access to the Platform is granted to authorized business customers under a separate service agreement with Biogas Engineering. These Terms supplement that agreement.
3. SMS Notification Program
Program Description: OMai operates an SMS notification program that delivers real-time operational alerts to authorized RNG facility operators and managers. Message types include equipment alarms, biogas production and MMBTU updates, maintenance reminders, and daily or periodic facility performance summaries.
Consent: SMS messages are only sent to users who have explicitly consented to receive them. Consent is obtained through a signed service agreement, email confirmation, or another documented opt-in process during onboarding. Consent to receive SMS messages is not a condition of using the Platform. If a user is enrolled by an authorized account administrator, that administrator is responsible for confirming the user's consent.
Message Frequency: Message frequency varies based on your facility's operational events. You may receive multiple messages per day during active alarm conditions.
Message & Data Rates: Standard message and data rates may apply, depending on your mobile carrier plan. OMai is not responsible for any charges imposed by your carrier.
Supported Carriers: OMai supports many major US carriers. Carrier availability may vary and is not guaranteed.
To Opt Out: Reply STOP to any SMS message at any time. You will receive a single confirmation message and no further messages will be sent to that number. Reply START to resubscribe.

4. User Responsibilities
As a user of the Platform, you agree to:
- Provide accurate and up-to-date account and contact information.
- Maintain the confidentiality of your login credentials and notify us immediately of any unauthorized access.
- Use the Platform only for lawful purposes and in accordance with these Terms.
- Not attempt to reverse engineer, copy, or resell the Platform or its underlying technology.
- Ensure that any phone numbers provided for SMS alerts belong to individuals who have consented to receive operational notifications from OMai.
5. Intellectual Property
All content, software, algorithms, dashboards, and materials within the Platform are the exclusive property of Biogas Engineering and are protected by applicable copyright, trademark, and intellectual property laws. You are granted a limited, non-exclusive, non-transferable license to access and use the Platform solely for your internal business operations under your service agreement. You may not copy, modify, distribute, or create derivative works without prior written consent.
6. Data Ownership
You retain ownership of your facility's operational data transmitted to the Platform. By using the Platform, you grant OMai a limited license to process and store that data for the purpose of providing the service, generating insights, and improving the Platform's AI models, in accordance with our Privacy Policy and your service agreement.
7. Disclaimer of Warranties
The Platform is provided "as is" and "as available." OMai makes no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted availability. Operational alerts and predictive analytics are provided as informational tools and do not replace the judgment of qualified facility operators. OMai is not liable for decisions made based solely on Platform data.
8. Limitation of Liability
To the maximum extent permitted by law, OMai and Biogas Engineering shall not be liable for any indirect, incidental, consequential, or punitive damages arising from your use of the Platform, including missed alerts, delayed notifications, or reliance on analytics outputs. Our total liability shall not exceed the amounts paid by you under your service agreement in the three months preceding the claim.
9. Modifications
We reserve the right to update these Terms at any time. Material changes will be communicated via email or an in-Platform notification. Continued use of the Platform after the effective date of updated Terms constitutes your acceptance of those changes.
10. Governing Law
These Terms are governed by the laws of the State of California, without regard to its conflict of law provisions. Any disputes arising under these Terms shall be resolved in the courts of Los Angeles County, California.
